Terms of service
These terms apply to engagements with Filebirchfield (Pty) Ltd for patch management reviews and related advisory work.
Acceptance
By requesting a quote, confirming an engagement letter, or using this website, you agree to these terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.
Services
Filebirchfield provides professional review and advisory services concerning patch management for business devices. Deliverables are described in the applicable engagement letter. We do not provide software licences, continuous monitoring platforms, or guaranteed remediation outcomes unless expressly stated in writing.
Client responsibilities
You will provide timely access to agreed evidence sources, nominate a technical contact, and ensure that information supplied is accurate. Delays in access may extend timelines without reducing fees already earned for work performed.
Intellectual property
Reports and materials we create for you become your property upon full payment, except for our pre-existing methods, templates, and know-how, which remain Filebirchfield property. You may use deliverables internally; public redistribution requires our written consent.
Confidentiality
Each party will protect the other’s non-public information and use it only for the engagement. Obligations survive for three years after the engagement ends, or longer where law requires.
Liability
To the extent permitted by South African law, Filebirchfield’s aggregate liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including lost profits or reputational harm, except where liability cannot be excluded for gross negligence or wilful misconduct.
Governing law
These terms are governed by the laws of the Republic of South Africa. Courts of Cape Town have non-exclusive jurisdiction.
Changes
We may update these terms on this page. Engagement letters already signed continue under the version referenced at signing unless both parties agree otherwise.
